THE BUSINESS

THE LEGAL STRUCTURE
Typically, and primarily driven by legal methods of corporate taxation optimization, minimization, or avoidance (which are legally distinct from tax evasion), companies engaged in mergers and acquisitions might use numerous intermediary steps with one or more shell companies. Presuming for the purposes of pedagogic simplicity that a transaction consists of only a purchaser and a seller, then the companies board of directors would agree to a plan of merger of equals which would be submitted to each of the company's distnict shareholders for ratification. For example, in the most popular jurisdiction for public companies in the U.S.A., this would be pursuant to The Delaware General Corporate Law section 251.
